Terms of Service

These Terms of Service (the “Terms”) govern access to and use of Terra Logic Suite, the OnSite platform, and the websites and applications operated by Terra Group, LLC (“Terra,” “we,” or “us”) at app.terrausa.com (together, the “Platform”). By creating an account, accepting an invitation, or otherwise using the Platform, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind that company, and “you” means that company.

1. What the Platform is

Terra operates a logistics platform used by construction customers, hauling carriers, owner operators, drivers, and Terra personnel to arrange and document the movement of aggregate and heavy materials. Platform functions include onboarding and compliance review, dispatch, jobsite access control, ticketing and proof of delivery, training and safety records, settlement support, and reporting.

Terra Group, LLC is a federally licensed property broker. The Platform is the software through which that brokerage and related services are administered. The Platform is provided for business use only and is not intended for personal, family, or household purposes.

2. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into contracts.
  • Accounts are issued to identified individuals. You are responsible for everything that happens under your credentials, and you may not share them or allow anyone else to use them.
  • You must provide accurate, complete, and current information, and keep it current. This includes company details, operating authority, insurance, driver and equipment records, contact information, and payment details.
  • Notify us immediately at appsupport@terrausa.com if you believe your credentials have been compromised.
  • Access is role based. Terra may grant, restrict, or revoke access to any part of the Platform at its discretion, including where required by a customer, a project owner, or a compliance rule.

3. Relationship to signed agreements

These Terms cover use of the Platform. They do not set commercial terms. If you have signed a separate agreement with Terra, that agreement controls the commercial relationship, and these Terms are supplemental to it.

Where there is a conflict, the following order of precedence applies:

  • First, the applicable rate confirmation, dispatch order, or project sheet for a specific load or job.
  • Second, the signed agreement between you and Terra, such as the Terra Broker Carrier Master Agreement for motor carriers, or a customer services agreement.
  • Third, these Terms.

Nothing in these Terms reduces, waives, or replaces any obligation in a signed agreement, including obligations relating to insurance, indemnity, confidentiality, safety, or payment.

4. Acceptable use

You agree not to:

  • Submit false, altered, or misleading information, including tickets, quantities, timestamps, locations, weights, GPS data, signatures, certifications, or proof of performance.
  • Access data belonging to another company, project, or user, or attempt to defeat the Platform's access controls, tenancy boundaries, or role permissions.
  • Share, resell, scrape, or systematically extract Platform data, including rates, customer identities, lanes, projects, or other users' information.
  • Probe, scan, or test the vulnerability of the Platform, or interfere with its operation, except through a good faith report to security@terrausa.com.
  • Upload malicious code, or use the Platform to transmit unlawful, harassing, or abusive content.
  • Use automated means to access the Platform except through interfaces Terra provides for that purpose.
  • Use the Platform to violate any law or regulation, including motor carrier safety regulations, hours of service rules, or weight and permitting requirements.

Safety related misuse, falsified compliance records, and attempts to bypass jobsite access controls are treated as material violations and may result in immediate removal from the Platform and from customer jobsites.

5. Your content and data

You retain ownership of the documents, records, and information you submit. You grant Terra a non exclusive license to host, process, display, and transmit that material as needed to operate the Platform, arrange and document transportation, satisfy compliance and customer requirements, and meet legal obligations.

You represent that you have the right to submit what you upload, including any information about your drivers and personnel, and that you have provided any notices and obtained any consents those individuals are owed. How Terra handles personal information is described in the Privacy Policy.

Terra may share your compliance status, identity, and jobsite activity with the customer or project owner whose site you work on. That disclosure is a core function of the Platform and a condition of jobsite access.

6. Availability, changes, and support

Terra does not guarantee uninterrupted or error free operation. The Platform may be unavailable for maintenance, updates, or causes outside our control. Terra may add, change, or remove features at any time. Where a change materially reduces functionality you rely on, Terra will make reasonable efforts to give notice through the Platform or by email.

Support is available at appsupport@terrausa.com. Unless a signed agreement says otherwise, no specific response time or uptime level is promised.

7. Third party services

The Platform depends on third party services for mapping, messaging, email delivery, payment processing, document storage, and identity verification. Those providers operate under their own terms. Terra is not responsible for their acts, omissions, or availability, and an outage at a provider may affect the Platform.

8. Electronic communications and signatures

You agree that Terra may communicate with you electronically, and that electronic acceptance, checkbox acknowledgment, typed name, platform timestamp, activity log, and related records may be used as evidence of your agreement. Operational messages about work you have accepted are described in the Privacy Policy. Optional job alerts by text message require separate consent, described at app.terrausa.com/sms-opt-in.

9. Fees

Where the Platform is offered on a paid plan, fees, billing periods, and payment terms are stated at the point of purchase or in your signed agreement. Amounts owed to carriers, and any deductions, setoffs, or holds, are governed by the applicable rate confirmation and signed agreement, not by these Terms.

10. Intellectual property

The Platform, including Terra Logic Suite, OnSite, and all associated software, interfaces, designs, documentation, and trademarks, is owned by Terra and protected by intellectual property law. These Terms grant you a limited, revocable, non exclusive, non transferable right to use the Platform for its intended business purpose. You may not copy, modify, reverse engineer, or create derivative works from any part of it.

11. Suspension and termination

Terra may suspend or terminate your access at any time, with or without notice, including for breach of these Terms, a signed agreement, a safety or compliance failure, lapse of insurance or operating authority, suspected fraud, or a customer requirement. You may stop using the Platform at any time.

Termination of Platform access does not by itself terminate a signed agreement, and does not relieve either party of obligations incurred before termination. Terra may retain records after termination as described in the Privacy Policy and as required by law, insurance, contract, or audit obligations.

12. Disclaimers

To the fullest extent permitted by law, the Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non infringement.

Terra does not warrant that Platform data, including compliance status, clearance decisions, estimates, routing, quantities, or timestamps, is free of error. The Platform supports decisions; it does not replace your own judgment or your own legal and regulatory obligations. Final authority over jobsite access and site safety rests with the customer or project owner controlling the site.

13. Limitation of liability

To the fullest extent permitted by law, Terra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or relating to the Platform, even if advised of the possibility.

To the fullest extent permitted by law, and except where a signed agreement states a different limit, Terra’s total liability arising out of or relating to the Platform will not exceed the greater of the amounts you paid Terra for Platform access in the twelve months before the claim, or one hundred dollars.

14. Indemnity

You will defend, indemnify, and hold harmless Terra, its parents, subsidiaries, affiliates, owners, members, managers, officers, employees, and agents from claims, liabilities, losses, damages, penalties, costs, and expenses, including reasonable attorneys fees, arising out of your use of the Platform, your content, your breach of these Terms, or your violation of any law or the rights of any third party. This is in addition to, and does not replace, any indemnity in a signed agreement.

15. Governing law and venue

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict of laws rules. Exclusive venue for any dispute is a state or federal court located in Louisiana, and the parties consent to personal jurisdiction there. The prevailing party is entitled to reasonable attorneys fees and costs.

16. Changes to these Terms

Terra may update these Terms. When we do, we will revise the date at the top of this page, and material changes will be communicated through the Platform or by email. Continued use of the Platform after a change takes effect means you accept the updated Terms.

17. General

  • If any provision is held unenforceable, it will be modified to the minimum extent necessary and the rest of these Terms remain in effect.
  • Failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms without Terra's written consent. Terra may assign to an affiliate, successor, or purchaser.
  • You and Terra are independent parties. Nothing here creates a partnership, joint venture, employment, or agency relationship.
  • Sections that by their nature should survive termination will survive, including Sections 5, 10, and 12 through 15.
